Scandium Canada Announces Amendment to its Private Placement

MONTRÉAL (QUÉBEC) April 1st, 2025 – TheNewswire - Scandium Canada Ltd. (TSX-V: SCD) (OTC: SCDCF) (the “Corporation”) announces amendment to its previously announced private placement (the ‘‘Offering’’) on March 5, 2025, as the Corporation now intends to enter into unsecured loan agreements with investors (the “Investors”) for maximum gross proceeds of $750,000 (the “Loan Agreements”).
The Loan Agreements will bear interest at a rate of 10.00% calculated semi-annually. The interests on the Loan Agreements will start to accrue on closing date of the Offering (the “Closing Date”) and will be calculated and payable semi-annually in cash or in common shares in the capital of the Corporation (the “Shares”), at the sole option of the Investor. Principal sum of Loan Agreements will be reimbursed 12 months (the “Term”) from the Closing Date.
Pursuant to the Loan Agreements, the Corporation will issue to each Investor benefiting from prospectus exemption in accordance with Regulation 45-106 respecting Prospectus Exemptions on Closing Date, as a loan bonus, fully paid and non-assessable Shares (the “Bonus Shares”), which will be equal to twenty percent (20%) of the principal amount of each Loan Agreement, divided by $0.015. Under the Offering, the Corporation may issue up to 10,000,000 Shares.
The net proceeds of the Offering will be primarily use for (i) general administrative expenses (66.00%), including among others 9.00% as payment of the Corporation’s officers salary, which are Non-Arm’s Length Parties to the Corporation, as this term is defined under the TSX Venture Exchange (the “TSXV”) policies, and (ii) the development of aluminium-scandium powder (34.00%). The gross proceeds of the Offering will not be used for payments to persons conducting investor relations. The Bonus Shares and the Shares issued in payment of interest issued pursuant to this Offering will be subject to a restricted hold period of four months and one day, under applicable Canadian securities laws. The Offering, including the issuance of the Bonus Shares and the payment of the interest in Shares, if any, remain subject to the final approval of the TSXV.
