Valdor Announces Exclusive Reseller Agreement for PPRTRL Software Platform

Vancouver, B.C. – TheNewswire - June 23, 2025 Valdor Technology International Inc. (“Valdor” or the “Company”) (CSE: VTI), a provider of advanced fiber optic components, is pleased to announce that it has entered into an exclusive reseller agreement, dated June 20, 2025 (the “Agreement”), with 1000927676 Ontario Inc. (“PPRTRL”), the developer of the proprietary PPRTRL software platform, a cutting-edge technology solution designed to facilitate secure digital transactions through real-time session monitoring and blockchain-backed records. Pursuant to the Agreement, the Company has been appointed as the exclusive reseller of the PPRTRL software platform in North America and Europe (the “Transaction”).

Pursuant to the terms of the Agreement, the Company will receive a five-year exclusive resale license (renewable upon mutual agreement) in North America and Europe and, in consideration, will issue 3,000,000 common shares of the Company (the “Consideration Shares”) to PPRTRL at a deemed price of $0.065 per Consideration Share. The Company will also pay a royalty on the gross revenues generated by the Company from the license of the Platform as follows: 5% of gross revenues up to $1,000,000; 4% of gross revenues between $1,000,001 and $3,000,000; and 3% of gross revenues in excess of $3,000,000. All Company Shares issuable to PPRTRL in connection with the Transaction will be subject to a four month and one day hold period from the date of issue pursuant to National Instrument 45-106 – Prospectus Exemptions (“NI 45-106”).  

PPRTRL will retain full responsibility for the development, maintenance, and support of the Platform during the license term and will provide support, integration and training services to end customers as needed. Support, integration and training services shall be provided to end customers subject to PPRTRL’s right to charge the Company at PPRTRL’s then-current standard rates for such services.

Completion of the Transaction is subject to receipt of all necessary regulatory approvals, including, as applicable, all required filings with the CSE, and customary closing conditions. The Transaction will not constitute a fundamental change or change of business, within the meaning of the policies of the CSE.
