Prismo Metals Upsizes and Concludes Private Placement, Plans Second Closing

Vancouver, British Columbia — July 18, 2025 — NewsWall — Prismo Metals Inc. has closed an upsized non-brokered private placement of units, increasing it from 5,000,000 Units to 11,500,000 Units, raising gross proceeds of $575,000. Each unit comprises one common share and one-half of a common share purchase warrant, with each whole warrant allowing the holder to purchase one share at $0.10 for 24 months.

The company intends to complete a second closing of up to 2 million additional units at $0.05 per unit, potentially raising an additional $100,000, earmarked for general corporate purposes.

According to CEO Alain Lambert, the private placement's upsizing illustrates investor interest in their newly optioned silver projects in Arizona, particularly the Silver King and Ripsey mines. Chief Exploration Officer Dr. Craig Gibson has devised a comprehensive initial exploration plan at Silver King, which includes a phase one drill program of at least 1,000 meters.

Dr. Gibson noted that a detailed mapping and sampling program is about to begin at both projects, at surface exposures and in accessible underground workings. Additionally, a drill program is slated for Silver King, initially involving approximately 1,000 meters, to test the mineralized body at four elevations.

The company intends to use the proceeds from the Private Placement for exploration activities at its recently optioned historical Silver King and Ripsey silver mines in Arizona and for general corporate purposes. In connection with the closing of the Private Placement, the Company issued an aggregate of 231,000 finder’s warrants (the“Finder’s Warrants”) and paid finder’s commissions of $11,550 to certain qualified finders.

All securities issued or issuable in connection with the Private Placement and the Second Closing are subject to a four-month hold period from the closing date under applicable Canadian securities laws.
