Fitzroy Minerals Completes First Tranche of LIFE Private Placement

VANCOUVER, BRITISH COLUMBIA — July 3, 2025 — NewsWall — FITZROY MINERALS INC. (TSXV: FTZ, OTCQB: FTZFF) has completed the first tranche of its non-brokered listed issuer financing exemption (LIFE) private placement, raising approximately $5,000,000 through the issuance of 16,666,667 common shares at $0.30 per share, anchored by an investment from the Tribeca Global Natural Resources Fund.

The Company anticipates additional tranches to bring the total LIFE Offering to up to $12,000,000, subject to a minimum of $8,000,000. This offering is conducted under Part 5A of National Instrument 45-106 and Coordinated Blanket Order 45-935, with securities issued not subject to a hold period. Additionally, Fitzroy Minerals intends to complete a concurrent non-brokered private placement of up to $1,000,000, issuing up to 3,333,333 shares at $0.30 per share, subject to a four-month hold period. Proceeds from the private placements will fund exploration activities and property commitments for the Buen Retiro and Caballos projects, general and administrative costs, and general working capital.

The closing of the Private Placement is subject to TSXV approval. The Company paid $400,000 in finder’s fees and issued 1,333,332 finder’s warrants, exercisable at $0.50 per share for two years, in connection with the First Tranche. Further finder’s fees may be paid with additional tranches, all subject to TSXV approval. Insiders of the Company may participate in the Concurrent Offering, which may be considered a related party transaction, but is expected to be exempt from certain requirements.
