Herbal Dispatch Inc. Announces Shareholder Approval of Resolutions at Annual General and Special Meetings

Vancouver, B.C. — June 17, 2025 — NewsWall — Herbal Dispatch Inc. (CSE: HERB) announced that all resolutions were passed by the required majority at its 2024 and 2025 Annual General and Special Meetings of Shareholders held on Tuesday, June 17, 2025.

Shareholders voted to set the number of directors at 3, electing Philip Campbell, Drew Malcolm, and Herb Dhaliwal. They also approved the appointment of Kingston Ross Pasnak LLP as the company’s auditor for the upcoming year, along with the Amended & Restated Stock Option Plan and Restricted Share Unit Plan, as required by the Canadian Securities Exchange.

Additionally, dis-interested shareholder approval was obtained for ratifying the third amendment to the 0971289 Unsecured Convertible Debenture, excluding votes from 0971289 B.C. Ltd., Drew Malcolm, and related affiliates. Similarly, approval was secured for ratifying the first amendment to the Herb Dhaliwal Unsecured Convertible Debenture, excluding votes from Herb Dhaliwal and related affiliates.

As Drew Malcolm and Herb Dhaliwal are directors, these amendments are “related party transactions” under Multilateral Instrument 61-101. The company relied on exemptions from formal valuation requirements. A material change report was not filed 21 days before due to the need for ratification.
