Carrier Connect Data Solutions to Acquire PureColo Inc. for Data Center Expansion

July 17, 2025 — NewsWall — Carrier Connect Data Solutions Inc. (TSX.V:CCDS OTCQB:CCDSF; WKN:A40XB1) has announced its intent to acquire PureColo Inc., a carrier-neutral data center provider in Ottawa, Canada. The acquisition aims to bolster Carrier Connect's portfolio of Tier II/III data centers specializing in co-location services.

The non-binding letter of intent (LOI) outlines the proposed acquisition, where PureColo securityholders would receive common shares of Carrier Connect valued at $4.1 million, along with $4.406 million in cash, less PureColo's outstanding debts and liabilities. The number of shares will be determined based on the volume-weighted average price 20 days before the definitive agreement. Additional shares may be issued to maintain the $4.1 million valuation.

The deal, expected to be structured as a share purchase, is subject to regulatory approvals, including that of the TSX Venture Exchange, and satisfactory due diligence. Consideration Shares will be released in installments over 12 months.
